Welcome to LearnTelligent. These Terms of Service ("Terms") govern your access to and use of our language learning platform, website, mobile applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree with these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing our website, or using any part of our Service, you acknowledge that:

  • You have read, understood, and agree to be bound by these Terms
  • You have read and understand our Privacy Policy
  • You are at least 13 years old (or 16 in the European Union)
  • If you are under 18, you have parental or guardian consent
  • You have the legal capacity to enter into a binding agreement

2. Account Registration and Security

2.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You must maintain and promptly update your account information
  • You may not use another person's account without permission
  • You may not create multiple accounts to circumvent restrictions or account limits

2.2 Account Security

  • You are responsible for maintaining the confidentiality of your password
  • You are responsible for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • We are not liable for any loss or damage from unauthorized account access

2.3 Account Termination

You may terminate your account at any time through your account settings or by contacting support. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or other legitimate reasons.

3. Subscription and Payment Terms

3.1 Subscription Plans

  • Free Tier: All new accounts include unlimited access to CLASS 00: Welcome to Canada. No credit card required.
  • Learner Plan: Individual subscription for personal language learning
  • Organization Plan: For language schools and institutions with multiple learners
  • Enterprise Plan: Custom solutions for large organizations

3.2 Billing and Payments

  • Subscriptions are billed monthly or annually in advance
  • Prices are in Canadian Dollars (CAD) unless otherwise stated
  • Annual plans offer 17% savings compared to monthly billing
  • Payment is processed through our secure payment provider (Stripe)
  • You must provide valid payment information and authorize recurring charges

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate for your plan. Cancel at least 24 hours before renewal to avoid charges.

3.4 Price Changes

We may change subscription prices with at least 30 days notice. Price changes do not affect your current billing period but will apply upon renewal.

3.5 Refunds

  • Cancellation: You can cancel your subscription at any time. No refunds for partial months/years
  • Refunds are processed within 5-10 business days when applicable

3.6 Taxes

Prices do not include applicable taxes (GST/HST/PST in Canada, VAT in EU). Taxes are calculated and added at checkout based on your location.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service for:

  • Personal language learning and skill development
  • Educational purposes in accordance with your subscription plan
  • Creating and managing courses (Organization and Enterprise plans)

4.2 Prohibited Activities

You may NOT:

  • Share your account credentials with others or create accounts for others
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Reverse engineer, decompile, or extract source code from the Service
  • Scrape, data mine, or automatically collect data from the Service
  • Upload viruses, malware, or malicious code
  • Impersonate others or provide false information
  • Interfere with or disrupt the Service or servers
  • Circumvent security measures or access restrictions
  • Use the Service to compete with LearnTelligent or build a similar product
  • Resell, redistribute, or sublicense the Service without authorization
  • Use AI-generated content for purposes outside personal learning

5. Intellectual Property Rights

5.1 Our Ownership

LearnTelligent owns all rights, title, and interest in the Service, including:

  • Software, code, algorithms, and technology
  • Lesson content, curricula, and educational materials
  • Trademarks, logos, and branding
  • AI models, prompts, and training data
  • Design, user interface, and user experience

5.2 License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

5.3 Your Content

You retain ownership of content you create (written responses, audio recordings, etc.). By using the Service, you grant us:

  • A license to store, process, and analyze your content to provide the Service
  • The right to use anonymized, aggregated data for improving our AI models and services
  • Permission to display your content to organization administrators (if applicable)

5.4 Feedback

Any feedback, suggestions, or ideas you provide become our property. We may use them without obligation or compensation to you.

6. AI-Powered Features

6.1 AI Services

Our AI features (Conversation, Role-Play, Writing, Pronunciation, Story Generation) use advanced language models. You acknowledge that:

  • AI responses may not always be accurate or appropriate
  • AI is a learning tool, not a substitute for professional language instruction
  • Your inputs are processed by third-party AI providers under data protection agreements
  • We do not train our AI models on your personal conversations or content

6.2 Responsible Use

Do not use AI features to generate harmful, offensive, illegal, or inappropriate content. We reserve the right to filter, block, or remove such content.

7. Organization Accounts

7.1 Organization Administrators

Organization account holders can:

  • Create and manage learner accounts
  • Access learner progress and performance data
  • Create custom courses and lesson content
  • Configure organization settings and branding

7.2 Learner Accounts

If you are a learner under an organization account, your administrator may have access to your learning data. Contact your organization regarding their data practices.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Warranties

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of accuracy, completeness, or reliability of content
  • Uninterrupted, secure, or error-free operation
  • Language proficiency results or examination success

9.2 No Professional Advice

LearnTelligent is an educational tool. It does not provide professional language certification, immigration advice, or guarantee specific outcomes. Consult qualified professionals for immigration or certification matters.

9.3 Third-Party Content

We are not responsible for third-party content, links, or services accessed through the platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEARNTELLIGENT SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or use of our servers
  • Interruption or cessation of the Service
  • Errors, mistakes, or inaccuracies in content
  • Any conduct or content of third parties

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless LearnTelligent, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your violation of these Terms
  • Your use or misuse of the Service
  • Your violation of any rights of another person or entity
  • Your content or conduct on the Service

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@learntelligent.com.

12.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act (Ontario), rather than in court. You waive the right to a jury trial or to participate in a class action.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

13. General Provisions

13.1 Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notice at least 14 days before taking effect. Continued use after changes constitutes acceptance.

13.2 Service Modifications

We may modify, suspend, or discontinue the Service or any features at any time with reasonable notice.

13.3 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

13.4 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LearnTelligent regarding the Service.

13.6 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.
